1.       Terms and Meanings

1.1.    “AES” refers to Absorb Environmental Solutions.

1.2.    Artwork refers to any artwork, images, content and logos.

2.       Copyright statement

2.1.    The Artwork supplied is either copy-written by AES, or is supplied under licence agreement between the copyright owner and AES: all rights reserved.  To copy, modify, distribute, display, license, offer, loan, or sell any AES Artwork in whole or in part, in any form or medium, without express written consent, is strictly prohibited.

2.2.    Questions concerning the Artwork or requests for Artwork use should be directed to aes@absorbenviro.com.au.

3.       Use of Artwork

3.1.    Your use of AES artwork is conditional upon your compliance with, and acceptance of, the following terms and conditions. You acknowledge and agree that by using AES artwork you are entering into a legally binding contract. You will not be permitted to use the artwork unless and until you accept this agreement.  You confirm that you are authorized to enter into this Agreement on behalf of yourself and/or the entity that you purport to represent.

3.2.    Upon acceptance of the terms and conditions, a reseller or distributor acting for AES has free and unlimited use of AES Artwork for use in websites, online, disk and printed applications (except through the use of broadcast television and film) provided the material is for informing and promoting AES products and services to prospects and customers and on the condition that the materials are not for sale in their own right.

3.3.    Upon acceptance of the terms and conditions, a media publication has free and unlimited use of AES Artwork for use in websites, online, disk and printed applications (except through the use of broadcast television and film) provided the material is for informing about and/or promoting AES products and services.

3.4.    The colors and proportion of the AES logo and product photos may not be altered.  The logo must always be surrounded by a defined minimum “protective field” blank space of 0.5 vh (vh = vertical height), separating it from other design elements.

3.5.    Anything produced from AES artwork shall not contain any material (a) protected by copyright, trademark, trade secret, patent or any other intellectual property right without authorization, or (b) that is defamatory, trade libelous, unlawfully threatening or harassing, pornographic, obscene or harmful to minors, or (c) that violates any law or regulation, including without limitation, the laws and regulations governing unfair competition, anti-discrimination, or false advertising.

4.       Title

4.1.    AES shall retain all right, title and interest in the AES Artwork used and in all intellectual property rights therein.

5.       Termination

5.1.    This Agreement and the licenses granted hereunder shall terminate immediately if you breach any term or condition hereof. In the event of a termination of this Agreement you shall cease all use of the AES Artwork.
